Acceptance of the Terms of Service

Welcome to Mulberry Tree: A Culinary Renaissance. Mulberry Tree Cooking is more than just a cutting-edge recipe application. It is a vibrant community where culinary tradition meets innovation, and localism gets a digital edge. Our platform paves the way back to our culinary roots, fostering an enriched network that intertwines local farmers with the people who love what they produce.

These terms of service are entered into by and between You and Mulberry Tree Cooking, LLC (“Mulberry Tree,” “we,” or “us”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “Terms of Service”), govern your access to and use of the Mulberry Tree Application (the “App”) and our website www.mulberrytree.io (the “Website”) including any content, functionality, and services offered on or through the App or our Website (collectively, the “Mulberry Tree Platform” or the “Platform”), whether as a guest or a registered User.

Please read the Terms of Service carefully before you start to use the App. By using the Mulberry Tree Platform or by selecting the “ACCEPT & CONTINUE” button when this option is made available to you, you accept and agree to be bound and abide by these Terms of Service and our Privacy Policy, found at https://www.mulberrytree.io/privacy-policy and incorporated herein by reference. If you do not want to agree to these Terms of Service or the Privacy Policy, you must not access or use the Mulberry Tree Platform.

The Mulberry Tree Platform is offered and available to Users who are 16 years of age or older and reside in the United States or any of its territories or possessions. Individuals with a conviction for sexual offenses are expressly prohibited from accessing or using the Application. By using the Platform, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Platform.

Definitions

Throughout this document, the following terms have the respective definitions:

  • “Content” includes any text-based recipe, audio file, photo, video, or other media that has been created, submitted, uploaded, or posted by a Content Creator as defined below.
  • “Content Creator” means a User with a “Chef” or “Farmer” account profile and who creates, uploads, and submits to the Platform any recipe, class, video, photo, or other related content. For more information about verification, see Verification below.
  • “User” refers to any natural person who accesses the Mulberry Tree Platform, whether through an account or as a guest, regardless of subscription type.  For the avoidance of doubt, as used in these Terms of Service, the term User includes Content Creators as well as persons with any type of account profile, including “Chef,” “Farmer,” and/or “Foodie.”

Changes to the Terms of Service

We may revise and update these Terms of Service from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Platform thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website.

Your continued use of the Platform following the posting of revised Terms of Service means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

Your Mulberry Tree Subscription

Mulberry Tree offers both a free and paid subscription service. At the time of account creation, all Users, regardless of subscription level, must verify their account through the procedure described at the time of account creation. All Users, regardless of subscription level, are required to agree and abide by these Terms of Service and Content Standards.

Free Subscription

The free subscription to the Mulberry Tree Platform provides Users with:

  • Access to specific content from Content Creators selected by Mulberry Tree.
  • Limited access to recipes, classes, social media features, and groups. Access to these features are subject to frequent change made at Mulberry Tree’s sole discretion.
  • Participation in select contests and raffles, made available in Mulberry Tree’s sole discretion.
  • Access to browse the marketplace.

Users with a free subscription are not eligible to redeem points, receive gift cards, enter raffles, post (as that term is defined below) or upload content other than a comment to a Content Creator’s post on or through the Mulberry Tree Platform. There may be additional features that are only available to Users with a paid subscription.

Paid Subscription

Mulberry Tree offers a paid subscription available in both a month-to-month or annual payment schedule. The month-to-month subscription option auto-renews upon payment each month. You must cancel your subscription prior to the renewal date to avoid being charged for the following billing cycle. If you select the annual subscription, you will make a one-time payment at a discounted rate for twelve (12) months of access to the Platform. No refunds will be provided to a User whose account has been terminated due to violations of the Terms of Service or Content Standards.

The paid subscription to the Mulberry Tree Platform provides Users with:

  • Verified membership status.
  • Opportunity to interact with, or become, a Content Creator.
  • Full access to all recipes, classes, and groups.
  • Priority access to contests, sweepstakes, and the Mulberry Tree marketplace.
  • Rewards for completing app-based recipes, redeemable as gift cards at local farms or grocery stores.
  • Rewards for original content creation in the form of gift cards.

All Users with a paid subscription, including Content Creators, are eligible to earn points for their participation and engagement with the Mulberry Tree Platform. Points may be redeemed and converted to gift cards available through the App. Should your Mulberry Tree account be terminated for any reason, you will forfeit any and all unconverted points and their associated gift card values. Gift cards are non-transferable, non-refundable, cannot be redeemed or exchanged for cash, and do not expire. Mulberry Tree is not responsible for, and will not replace, any lost or stolen gift card.

Terms Applicable Only to Content Creators

In accordance with our Privacy Policy, Mulberry Tree collects User interaction data to determine the relevance of advertisements to a particular User. Content Creators earn a predetermined amount for each click generated by an advertisement displayed on their content. Revenue is generated based on the number of views an advertisement receives on a Content Creator’s content. Content Creators may collaborate with approved brands to incorporate specific advertisements into their content. Additional revenue is generated when a User makes a purchase through an advertisement displayed on a Content Creator’s content.

All earnings are contingent upon adherence to these Terms. Non-compliance with these Terms of Service, including the Content Standards herein, or actions against the Platform may result in suspension, withholding or forfeiture of earnings. Such Users are solely responsible for reporting earnings or gift cards to their respective tax authorities and for adherence to all applicable tax regulations. Mulberry Tree does not provide tax advice and is not responsible for any tax-related liabilities arising from a Creator’s earnings. Creator agrees to indemnify Mulberry Tree for any tax liabilities arising from Creator or Creator’s User Contributions. Any tax-related misconduct may result in the suspension of the User’s account.

Accessing the Platform and Account Security

We reserve the right to withdraw or amend the Platform, and any service or material we provide on the Platform, in our sole discretion without notice. We will not be held liable if for any reason all or any part of the Platform is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Platform, or the entire Platform, to Users, including registered users.

You are responsible for both:

  • Making all arrangements necessary for you to have access to the Platform.
  • Ensuring that all persons who access the Platform through your internet connection are aware of these Terms of Service and comply with them.

To access the Mulberry Tree Platform or some of the resources we offer, you may be asked to provide certain registration details or other information. It is a condition of your use of the Platform that all the information you provide on the Platform is correct, current, and complete. You agree that all information you provide to register with the Platform or otherwise, including, but not limited to, through the use of any interactive features on the Mulberry Tree Platform, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Mulberry Tree Platform or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Service. Individuals whose accounts have been permanently terminated due to violations of our Terms of Service are prohibited from creating a new account.

Intellectual Property Rights

The Mulberry Tree Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Mulberry Tree, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Service permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:

  • Your device may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
  • If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
  • If we provide social media features with certain content, you may take such actions as are enabled by such features.

You must not:

  • Modify copies of any materials from this site.
  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

You must not access or use for any commercial purposes any part of the Mulberry Tree Platform or any services or materials available through the Platform.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Mulberry Tree Platform in breach of the Terms of Service, your right to use the Platform will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Platform or any content on the Platform are transferred to you, and all rights not expressly granted are reserved by Mulberry Tree. Any use of the Platform not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark, and other laws.

Trademarks

The Mulberry Tree name, the Mulberry Tree logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Mulberry Tree or its affiliates or licensors. You must not use such marks without the prior written permission of Mulberry Tree. All other names, logos, product and service names, designs, and slogans on this Platform are the trademarks of their respective owners.

Prohibited Uses

You may use the Mulberry Tree Platform only for lawful purposes and in accordance with these Terms of Service. You agree not to use the Mulberry Tree Platform:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • To post any defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national or ethnic origin, or other targeted groups.
  • To encourage illegal or reckless use of weapons and dangerous objects, or to facilitate the purchase of firearms or ammunition.
  • To make inflammatory religious commentary or inaccurate or misleading quotations of religious texts.
  • For the purpose of posting or viewing overtly sexual or pornographic material, defined as “explicit descriptions or displays of sexual organs or activities intended to stimulate erotic rather than aesthetic or emotional feelings.” This includes content that may include pornography or be used to facilitate prostitution.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To post, send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms of Service.
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
  • To impersonate or attempt to impersonate Mulberry Tree, a Mulberry Tree employee, another User, or any other person or entity (including, without limitation, by using email addresses or usernames associated with any of the foregoing).
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Mulberry Tree Platform, or which, as determined by us, may harm Mulberry Tree or Users of the Platform, or expose them to liability.
  • To make unwarranted, baseless, or excessive use of reporting, flagging, dispute, or appeals processes.

Additionally, you agree not to:

  • Create and/or maintain more than one account. Duplicate or multiple accounts for a singular individual are expressly prohibited to maintain the integrity and order of the App.
  • Use the Platform in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Platform, including their ability to engage in real time activities through the Platform.
  • Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform.
  • Use any manual process to monitor or copy any of the material on the Platform, or for any other purpose not expressly authorized in these Terms of Service, without our prior written consent.
  • Use any device, software, or routine that interferes with the proper working of the Platform.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform are stored, or any server, computer, or database connected to the Platform.
  • Attack the Platform via a denial-of-service attack or a distributed denial-of-service attack.
  • Otherwise attempt to interfere with the proper working of the Platform.

User Contributions

The Mulberry Tree Platform may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow Users, including Content Creators, to post, submit, publish, display, or transmit to other Users or other persons (hereinafter, “post”) Content or other materials, including comments posted by an unverified User to a Content Creator’s Content (collectively, “User Contributions”) on or through the Mulberry Tree Platform.

All User Contributions must comply with the Content Standards set out in these Terms of Service.

Any User Contribution you post to the Platform will be considered non-confidential and non-proprietary. By providing any User Contribution on the Platform, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the unlimited, free, worldwide right to forever use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose, even if or after you terminate your account.

You represent and warrant that:

  • You own or control all rights in and to the User Contributions and have the right to grant the license granted above and below to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
  • All of your User Contributions do and will comply with these Terms of Service.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Mulberry Tree, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other User of the Platform.

Monitoring and Enforcement; Termination

We have the right in our sole discretion to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion, either before or after it is posted.
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Service, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of Users of the Platform or the public, or could create liability for Mulberry Tree.
  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Platform.
  • Block, terminate or suspend your access to all or part of the Platform for any or no reason, including without limitation, any violation of these Terms of Service.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Platform. YOU WAIVE AND HOLD HARMLESS THE COMPANY FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPANY OR LAW ENFORCEMENT AUTHORITIES.

All Content is reviewed by a third-party reviewer before it is posted on our Platform. However, we cannot ensure that no objectionable material will ever be posted to our Platform and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any User or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section. We encourage Users to report any User Contribution that violates our Content Standards.

Content Standards

The following standards are in place to ensure that the Mulberry Tree Platform remain a space characterized by respect, creativity, and fair competition. These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations.

Without limiting the foregoing, User Contributions must not:

  • Contain any material that is obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, insensitive, upsetting, intended to disgust, in exceptionally poor taste, or otherwise objectionable. This includes, but is not limited to, any material that is defamatory, discriminatory, or mean-spirited, including references or commentary about race, sex, religion, national or ethnic origin, disability, sexual orientation, age, veteran status, gender, gender identity, caste, immigration status, or other characteristic associated with systemic discrimination, marginalization, or targeted groups.
  • Promote overtly sexual or pornographic material (defined as “explicit descriptions or displays of sexual organs or activities intended to stimulate erotic rather than aesthetic or emotional feelings”), incidental sexual content, or harmful concepts which capitalize or seek to profit on recent or current events, such as violent conflicts, terrorist attacks, and epidemics.
  • Contain inflammatory religious commentary or inaccurate or misleading quotations of religious texts.
  • Endanger or facilitate the exploitation or abuse of children. This includes Child Sexual Abuse Material (CSAM), which is expressly prohibited.
  • Promote negative body or self image.
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Service and our Privacy Policy.
  • Be likely to deceive any person. It is prohibited to use this Platform to provide inaccurate data or information, expose any person to deceptive or harmful financial products or services, or spread misinformation, including misleading health claims.
  • Depict illegal or reckless use of weapons and dangerous objects, or facilitate the sale or purchase of explosives, firearms or certain firearms accessories, or ammunition.
  • Portray people or animals being killed, maimed, tortured, or abused.
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act.
  • Encourage consumption or sale of tobacco and vape products, illegal drugs, controlled substances, excessive amounts of alcohol, or marijuana or marijuana products, regardless of legality.
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
  • Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
  • Contain images or other material generated by artificial intelligence (“AI”), including in connection with cooking challenge submissions, recipe completion, or otherwise. Users who submit AI-generated Content to earn points or other incentives will be subject to loss of the associated points, suspension or banning from the platform.

Mulberry Tree, in its sole discretion, may take action with respect to the accounts of Users who have violated the Content Standards, including but not limited to, suspension, termination, and/or permanent ban from the Platform. Users who are permanently banned will forfeit all accumulated points and will not be permitted to redeem or cash out any benefits.

Making a Claim of Copyright Infringement

We respect the intellectual property of others. If you believe that any User Contributions violate your copyright, you may request removal of those materials from the Mulberry Tree Platform to our DMCA agent designated below. Please follow the procedures below for sending us a notice of copyright infringement. It is the policy of Mulberry Tree to terminate the User accounts of repeat infringers.

For your notice to be valid under the DMCA, it must include substantially the following:

  • Your physical or electronic signature;
  • Identification of the copyrighted work you believe to have been infringed or, if the claim involves multiple works, a representative list of such works;
  • Identification of the material you believe to be infringing in a sufficiently precise manner to allow us to locate that material;
  • Adequate information by which we can contact you (including name, postal address, telephone number, and email address);
  • A statement that you have a good faith belief that use of the copyrighted material is not authorized by the copyright owner, its agent, or the law;
  • A statement that the information in the written notice is accurate; and
  • A statement, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Under the DMCA, if you knowingly, materially misrepresent that material or activity on the Mulberry Tree Platform is infringing your copyright or was removed or disabled by mistake or misidentification, you may be held liable for damages, including costs and attorneys' fees. In accordance with the DMCA and other applicable law, it is our policy in appropriate circumstances to disable and/or terminate the accounts of Users who are repeat infringers. We may also at our sole discretion limit access to the services and/or terminate the accounts of any Users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

Note that to make a claim of infringement, you will be required to make a declaration, under penalty of perjury, that the information contained in your claim is correct and that you are the Intellectual Property Rights owner or an agent of the owner. If the information you submit is not accurate or complete, we may be unable to process or respond to your request. If you have questions about what intellectual property infringement is, or whether your rights were infringed, consider seeking legal advice.

Reliance on Information Posted

Mulberry Tree provides an informational platform for Users and does not provide medical advice, medical diagnosis or medical opinion. The information accessible on this Platform does not replace professional advice. The information presented on or through the Mulberry Tree Platform is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information, including any information posted by any Content Creator. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Platform, or by anyone who may be informed of any of its contents. Users are advised to seek guidance from a licensed doctor, dietician, or relevant health professional before relying on any content available on the Platform, including User Contributions, before making any significant dietary or lifestyle changes. Users with specific allergies or specific dietary requirements are encouraged to independently review recipes and classes for any allergens or specific dietary concerns.

The Mulberry Tree Platform includes content provided by third parties, including materials provided by other Users, Content Creators, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by Mulberry Tree, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of Mulberry Tree. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

From time to time, Mulberry Tree may integrate Generative Artificial Intelligence (“GAI”) features to enhance the User’s experience. GAI operates based on analysis and assumptions made from data inputs, its large language model, and algorithms, and its generative outputs may not always be true, accurate, or complete. GAI is a useful tool to provide suggestions for ingredient modifications or combinations, but use of GAI is intended to complement, not replace, human judgment and personal preference. Users must exercise their independent judgment when relying on GAI-generated information, especially in cases of allergies or specific dietary requirements. Mulberry Tree will not be liable for any outcomes, issues, damages, or inaccuracies arising from GAI-generated information. Users agree to engage with GAI features at their own discretion and risk.

Changes to the Mulberry Tree Platform

We may update the content on the Platform from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Platform may be out of date at any given time, and we are under no obligation to update such material. Users will be notified of material changes to the Terms of Service when they next access the Platform and/or by push notification through our App. You are expected to review and accept these updates before proceeding further.

Information About You and Your Visits to the Website

All information we collect on this Website is subject to our Privacy Policy. By using the Website, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Payments

Mulberry Tree utilizes third-party payment processors, Apple payment store and Google store, to facilitate User transactions, including for payment of subscription fees. All payment is secured through these processors. All purchases through our site or other transactions for the sale of goods, services, and/or information formed through the Platform, or resulting from visits made by you, are governed by their respective Terms of Service, which should be reviewed by you prior to completing any such transaction.

Sweepstakes & Contests

From time to time, subject to applicable law, regulation and rule, Mulberry Tree may host a sweepstakes or contest for Users of the Platform who are eligible to participate. Eligible Users have the option to enter the sweepstakes or contest subject to any applicable law, regulation, or sweepstakes or contest rule that applies in their jurisdiction. Please review our Sweepstakes & Contests Policy for more information.

Linking to the Website and Social Media Features

You may link to our homepage, provided you do so in a way that is fair and lawful and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part.

This Website may provide certain social media features that enable you to:
